Results of Sanction Hearings

The board of directors of Kistos plc ("Kistos" or "Company" or, together with
its subsidiary or subsidiary undertakings, the "Group") (AIM: KIST) is pleased
to announce the results of the sanction hearing (the "Sanction Hearing") of
the High Court of Justice of England and Wales (the "Court") in relation to
the restructuring of Kistos by means of a scheme of arrangement ("Scheme")
proposed by the Company under Part 26A of the Companies Act 2006, as amended.

Further to the announcement dated 14 December 2022 in relation to the court
meeting ("Court Meeting") and general meeting ("General Meeting"), the Court
has sanctioned the Scheme to implement the restructuring.

The Scheme will become effective once the Scheme Court Order (duly sealed by
the Court) has been delivered to the Registrar of Companies, which is expected
to take place on 20 December 2022.

The last day of dealings in, and registration of transfers of, Kistos's
ordinary shares ("Ordinary Shares") will be on 21 December 2022. The Scheme
Record Time will be 6.00 p.m. on 21 December 2022.

Kistos has applied to the London Stock Exchange for the cancellation of
admission to trading of the Ordinary Shares on AIM, which is expected to take
effect as of 8.00 a.m. on 22 December 2022. No transfers of Ordinary Shares
will be registered after 8.00 a.m. on that date.

Full details of the Scheme are set out in the circular sent to Shareholders
dated 22 November 2022 ("Scheme Document"). Capitalised terms used but not
otherwise defined in this announcement have the meaning given to them in the
Scheme Document.

All references to time in this announcement are to London, England time,
unless otherwise stated. The Company will advise any changes to times and
dates by RNS.
