Result of General Meeting

Kropz plc (AIM: KRPZ), an emerging African phosphate producer, is pleased to
announce that all the resolutions put to the General Meeting ("GM") held
earlier today, Monday 30 May 2022, were duly passed on a poll. A breakdown of
proxy votes lodged prior to the GM and votes cast at the GM will be available
shortly on the Company's website.

 

As announced on 11 May 2022, the purpose of the GM was to provide the
Company's directors authority to issue and allot, on a non-pre-emptive basis,
shares in the Company to meet the full demand under the new ZAR177 million
equity facility from the Company's largest shareholder, ARC Fund ("ZAR177
million Equity Facility").

 

The ZAR 177 Million Equity Facility is also conditional on approval from the
South African Reserve Bank ("SARB"). Further updates on this will be provided
in due course.
