Invenio Capital Plc (the "Issuer") 
 
The Issuer is pleased to announce the launch of the below Series of secured exchange traded products:
 
Invenio Capital Plc 2020-F1 EUR Secured 10% NTS due 2025 ISIN GB00BN4H3H52
Invenio Capital Plc 2020-F1 GBP Secured 10% NTS due 2025 ISIN GB00BN4H3G46
Invenio Capital Plc 2020-F1 USD Secured 10% NTS due 2025 ISIN GB00BN4H3J76
(together, the "2020-F1 Notes") 
 
An application has been made for listing the 2020-F1 Notes on the Frankfurt Stock Exchange.
 
About the 2020-F1 Series Notes 
 
Proceeds of the 2020-F1 Series Notes shall be lent by the Issuer to NQ Minerals PLC (the "Borrower"), a public limited company incorporated in the United Kingdom, which is involved in mining exploration, development and operations in Australia and is listed on the Aquis Stock Exchange (previously the NEX Exchange) (the "Loan").  The Borrower will use the proceeds of the Loan to invest in certain of its current mining, exploration and development projects.
 
The Issuer will take security in respect of the Loan, which will consist of:
 
(i)      limited recourse specific security governed by Australian law, in respect of shares in the capital of Ivy Resources Pty Ltd and Circle Resources Pty Ltd,, granted by Keen Pacific Limited and NQ Minerals Pty Ltd respectively (the "Subsidiaries");
 
(ii)     limited recourse guarantees governed by English law, granted by each of the Subsidiaries; and 
 
(iii)    a consent and enforcement deed governed by English law between, amongst others, the Lender, the Borrower and the Subsidiaries.
 
About the Issuer 
 
The Issuer (formerly "NQ Growth Plc") changed its name on 5 January 2021.
