Loungers plc

("Loungers" or the "Company")

Covid-19 update

 Extension of bank facilities

Placing of new ordinary shares

Further to its updates on 18 March 2020 and 20 March 2020, Loungers - the operator of 167 café/bar/restaurants across England and Wales under the Lounge and Cosy Club brands - today provides an update on the actions it is taking in response to the Covid-19 crisis.

Loungers is also pleased to announce that it has materially strengthened its financial and liquidity position. In order to give it flexibility and increased headroom over this period of unprecedented uncertainty, Loungers has agreed an extension to its banking facilities and is also undertaking a placing (the "Placing") of up to 9,250,000 new ordinary shares of 1 pence each ("Ordinary Shares") (the "Placing Shares") to provide additional liquidity headroom should closure be enforced for an extended period of time, together with growth capital to enable it to emerge strongly from lock down and re-commence its roll-out at the appropriate time. The Placing is being conducted through an accelerated bookbuild process (the "Bookbuild") which will be launched immediately following this Announcement.

Optimised cost base

The Company has taken decisive action to reduce its cost base and minimise cash outflow since its sites were temporarily closed on 20 March 2020.

·           99 per cent of the Company's employees, comprising all site employees and most head office employees, have been furloughed via the Government's Coronavirus Job Retention Scheme. A skeleton staff of business-critical employees has been retained to administer the Company during the closure period and to prepare for the re-opening of its sites;

·           All capital expenditure and other non-discretionary spend has been paused;

·           Creditor payment terms for the duration of the site closure period have been re-negotiated;

·           Negotiating with landlords in respect of waiving March quarter rent payments;

·           Utilising the business rates exemption and VAT payment deferral initiatives introduced by the Government; and

·           The base salaries / fees of the directors of the Company (the "Directors" or "Board") being reduced by 50 per cent for the duration of the site closure (as a result of a 20% deduction and 30%  per cent deferral until the sites are re-opened).

Extended bank facilities

As at 17 April 2020, the Company had £4.1m of cash on its balance sheet, undrawn facilities of £3.0m and net debt of £35.4m.

Loungers is pleased to announce that its current lending banks, Santander and Bank of Ireland, have agreed to provide an incremental £15.0m revolving credit facility for an 18 month period (the "New Facilities"). £10.0m of the New Facilities can be drawn immediately and a further £5.0m can be drawn conditional upon the Company raising equity funding of at least that amount. Covenant tests at 12 July 2020 and 4 October 2020 have been waived and subsequent quarterly tests to 3 October 2021 have been re-set.

The Placing

The Company intends to issue the Placing Shares, representing up to 10 per cent of its existing issued Ordinary Shares, to certain existing shareholders, including Directors, and institutional and other investors pursuant to the authorities granted to the Company at its 2019 Annual General Meeting.

The Placing is being conducted through the Bookbuild, which will be launched immediately following this Announcement.

Peel Hunt LLP ("Peel Hunt") and Liberum Capital Limited ("Liberum") are acting as joint bookrunners in relation to the Placing (the "Joint Bookrunners"). The Joint Bookrunners and the Company have entered into a placing agreement dated 22 April 2020 in connection with the Placing (the "Placing Agreement").

Highlights of the Placing

·      The net proceeds of the Placing, together with the New Facilities, will be allocated to provide sufficient liquidity in the event that Covid-19 materially impacts the Company's sales into 2021, as well as to enable the Company to re-commence the roll-out of new sites post Covid-19 at the time trading conditions support this;

·      Certain of the Directors and other PDMRs and funds advised by Lion Capital LLP, a substantial shareholder in the Company, intend to subscribe for, in aggregate, approximately 4.2m Placing Shares;

·      The price at which the Placing Shares will be subscribed for (the "Placing Price"), will be agreed by the Joint Bookrunners and the Company at the close of the Bookbuild, and the result will be announced as soon as practicable thereafter;

·      The timing for the close of the Bookbuild, the allocation of the Placing Shares and the Placing Price shall be determined together by the Joint Bookrunners and the Company. The Placing is not underwritten; and

·      The Appendix to this Announcement (which forms part of this Announcement) contains the detailed terms and conditions of the Placing.

Background to and reasons for the Placing

The Company successfully completed its IPO on 29 April 2019 with a clear organic growth strategy, driven by the targeted roll-out of 25 new Lounge and Cosy Club sites per annum and an ongoing focus on operational improvements to drive further sales and margin improvements across the estate.

In delivering this strategy, Loungers has continued to consistently and significantly outperform the UK hospitality sector. Loungers' like-for-like sales in the 47 weeks ended 15 March 2020 were plus 4.4 per cent (Coffer Peach Tracker: plus 0.4 per cent) and in the two weeks ended 15 March 2020 were plus 2.5 per cent (Coffer Peach Tracker: minus 7.8 per cent). Prior to the closure of all Company sites on 20 March 2020, new site openings in the current financial year had performed well and the evolution of menus, processes and back of house had all contributed significantly to this trading performance.

The Board is committed to resuming the Company's roll-out strategy as soon as there is evidence that consumer confidence has returned and trading conditions allow. The Board believes that the Company's value for money offer, broad customer base in Lounge and Cosy Club, historically low rent to revenue ratio, limited exposure to central London or travel hubs and negligible exposure to tourism, leaves it very well positioned to recover quickly once its sites are permitted to re-open and to easily adapt to any changes in consumer behaviour and demand.

With this in mind, the Board believes that in addition to ensuring the longevity of the Company through the lockdown, any financing exercise should also provide the Company with the financial flexibility to take advantage, at the appropriate time, of growth opportunities in the aftermath of the Covid-19 crisis.

The actions taken by the Board to mitigate the impact of Covid-19 and the closure of the Company's café bars and restaurants (as outlined above) have, in aggregate, reduced the Company's weekly cash burn (on a fully rent inclusive basis) during the temporary closure period to £480k.

The Company currently has a general authority to issue 4,625,000 new Ordinary Shares on a non pre-emptive basis and a further authority to issue another 4,625,000 new Ordinary Shares on a non pre-emptive basis in connection with capital investment of a kind contemplated by the Statement of Principles on Disapplying Pre-Emption Rights published by the Pre-Emption Group. To the extent that the further authority is used in the Placing, the proceeds will be targeted either at the roll-out of new sites, once trading conditions allow this to re-commence, or at the re-financing of capital expenditure carried out by the Company in the six months prior to the Placing.

The Board believes that the net proceeds of the Placing, having utilised both of the above authorities, and when combined with the New Facilities, will provide the Company with sufficient capital to best manage through the Covid-19 crisis, particularly in the event of a protracted period before the Government allows hospitality businesses to re-open, and to subsequently recommence its roll-out. Assuming completion of the Placing, the Board estimates that the Company will have available funds of approximately £31.0m which, if the Company's sites remained closed and including a forecast working capital unwind of £9.0m, would equate to approximately 46 weeks' liquidity at the cash burn rate set out above.

About Loungers

Loungers operates through its two complementary brands - Lounge and Cosy Club - in the UK hospitality sector. A Lounge is a neighbourhood café/bar combining elements of coffee shop culture, the British pub and dining. As at 20 March 2020, there were 138 Lounges nationwide. Lounges are principally located in secondary suburban high streets and small town centres. The sites are characterised by informal, unique interiors with an emphasis on a warm, comfortable atmosphere, often described as a "home from home".

Cosy Clubs are more formal bars/restaurants offering reservations and table service but share many similarities with the Lounges in terms of their broad, all-day offering and their focus on hospitality and their culture. Cosy Clubs are typically located in city centres and large market towns. Interiors tend to be larger and more theatrical than for a Lounge, and heritage buildings or first-floor spaces are often employed to create a sense of occasion. As at 20 March 2020, there were 29 Cosy Clubs nationwide.

The timing of the close of the Bookbuild is at the absolute discretion of Peel Hunt and Liberum in consultation with the Company and Peel Hunt and Liberum reserve the right to close the Bookbuild process earlier or later without further notice. Details of the Placing Agreement and the Placing Shares

The Joint Bookrunners have today entered into the Placing Agreement with the Company under which, on the terms and subject to the conditions set out in the Placing Agreement, each of the Joint Bookrunners, as agent for and on behalf of the Company, has severally agreed to use its reasonable endeavours to procure placees for the Placing Shares.

The final number of Placing Shares and the Placing Price will be set out in a share placing supplement agreed between the Joint Bookrunners and the Company following the Bookbuild (the "Placing Supplement").

The Placing is not underwritten by the Joint Bookrunners.

The Placing Shares will, when issued, be credited as fully paid up and will be issued subject to the Company's articles of association and rank pari passu in all respects with the Existing Ordinary Shares, including the right to receive all dividends and other distributions declared, made or paid on or in respect of the Ordinary Shares after the date of issue of the Placing Shares, and will on issue be free of all pre-emption rights, claims, liens, charges, encumbrances and equities.

Application for admission to trading

Application has been made to the London Stock Exchange plc (the "London Stock Exchange") for the admission of the Placing Shares to trading on AIM ("Admission").

It is expected that Admission of the Placing Shares will occur at or before 8.00 a.m. (London time) on 27 April 2020 (or such later time and/or date as the Joint Bookrunners may agree with the Company) and that dealings in the Placing Shares will commence at that time.

Bookbuild

The Joint Bookrunners will today commence the accelerated bookbuilding process to determine demand for participation in the Placing by Placees (the "Bookbuild"). This Announcement gives details of the terms and conditions of, and the mechanics of participation in, the Placing. No commissions will be paid to Placees or by Placees in respect of any Placing Shares.

The Joint Bookrunners shall be entitled to effect the Placing by such alternative method to the Bookbuild as it may, in their absolute discretion following consultation with the Company, determine.

Participation in, and principal terms of, the Placing

1.                The Joint Bookrunners are arranging the Placing as bookrunners and placing agent of the Company. Participation in the Placing will only be available to persons who may lawfully be, and are, invited to participate by the Joint Bookrunners. The Joint Bookrunners may themselves elect to be a Placee in respect of all or some of the Placing Shares or may nominate any member of its group to do so.

2.                The Bookbuilding, if successful, will establish a single price for Placing Shares payable to the Joint Bookrunners (as applicable), as agents for the Company, by all Placees whose bids are successful (the "Placing Price"). The number of Placing Shares and the Placing Price will be confirmed by the Joint Bookrunners (in consultation with the Company) following completion of the Bookbuild. Subject to the execution of the Placing Supplement, the Placing Price and the number of Placing Shares to be issued will be announced on a Regulatory Information Service following the completion of the Bookbuild via the Placing Results Announcement.

3.                To bid in the Bookbuild, prospective Placees should communicate their bid orally by telephone or in writing to their usual sales contact at the relevant Joint Bookrunner.  Each bid should state the number of Placing Shares which the prospective Placee wishes to subscribe for at either the Placing Price which is ultimately established by the Company and the Joint Bookrunners, or at prices up to a price limit specified in its bid.  Bids may be scaled down by the Joint Bookrunners on the basis referred to below. The Joint Bookrunners reserve the right not to accept bids or to accept bids in part rather than in whole. The acceptance of the bids shall be at the Joint Bookrunners' absolute discretion, subject to agreement with the Company.

4.                The Bookbuild is expected to close no later than 7.00 a.m. (BST) on 23 April 2020 but may be closed earlier or later at the discretion of the Joint Bookrunners.  The Joint Bookrunners may, in agreement with the Company, accept bids that are received after the Bookbuild has closed. The Company reserves the right (upon the agreement of the Joint Bookrunners) to reduce the number of shares to be issued pursuant to the Placing, in its absolute discretion.

5.                Allocations of the Placing Shares will be determined by the Joint Bookrunners after consultation with the Company (the proposed allocations having been supplied by the Joint Bookrunners to the Company in advance of such consultation). Subject to the execution of the Placing Supplement, allocations will be confirmed orally or in writing by the Joint Bookrunners and a trade confirmation will be despatched as soon as possible thereafter. The Joint Bookrunners' oral or written confirmation to such Placee constitutes an irrevocable legally binding commitment upon such person (who will at that point become a Placee), in favour of the Joint Bookrunners and the Company, to acquire the number of Placing Shares allocated to it and to pay the Placing Price in respect of such shares on the terms and conditions set out in this Appendix and in accordance with the Company's articles of association. A bid in the Bookbuild will be made on the terms and subject to the conditions in this Announcement (including this Appendix) and will be legally binding on the Placee on behalf of which it is made and except with the Joint Bookrunners' consent, such commitment will not be capable of variation or revocation after the time at which it is submitted.

6.                Each Placee's allocation and commitment will be evidenced by a trade confirmation issued to such Placee by the Joint Bookrunners. The terms of this Appendix will be deemed incorporated in that trade confirmation.

7.                Irrespective of the time at which a Placee's allocation pursuant to the Placing is confirmed, settlement for all Placing Shares to be subscribed for pursuant to the Placing will be required to be made at the same time, on the basis explained below under "Registration and Settlement".

8.                All obligations under the Bookbuild and the Placing will be subject to fulfilment or (where applicable) waiver of the conditions referred to below under "Conditions of the Placing" and to the Placing not being terminated on the basis referred to below under "Right to terminate under the Placing Agreement".

9.                By participating in the Placing, each Placee agrees that its rights and obligations in respect of the Placing will terminate only in the circumstances described below and will not be capable of rescission or termination by the Placee.

10.             To the fullest extent permissible by law, neither the Joint Bookrunners, nor the Company, nor any of their respective affiliates, agents, directors, officers or employees shall have any responsibility or liability to Placees (or to any other person whether acting on behalf of a Placee or otherwise). In particular, neither the Joint Bookrunners, nor the Company, nor any of their respective affiliates, agents, directors, officers or employees shall have any responsibility or liability (including to the extent permissible by law, any fiduciary duties) in respect of the Joint Bookrunners' conduct of the Placing or of such alternative method of effecting the Placing as the Joint Bookrunners and the Company may determine.

11.             The Placing Shares will be issued subject to the terms and conditions of this Announcement and each Placee's commitment to subscribe for Placing Shares on the terms set out herein will continue notwithstanding any amendment that may in future be made to the terms and conditions of the Placing and Placees will have no right to be consulted or require that their consent be obtained with respect to the Company's or the Joint Bookrunners' conduct of the Placing.

12.             All times and dates in this Announcement may be subject to amendment. the Joint Bookrunners shall notify the Placees and any person acting on behalf of the Placees of any changes.

Conditions of the Placing

The Placing is conditional upon the Placing Agreement becoming unconditional and not having been terminated in accordance with its terms. The Joint Bookrunners' obligations under the Placing Agreement are conditional on customary conditions including (amongst others) (the "Conditions"):

1.                certain announcement obligations;

2.                Admission occurring no later than 8.00 a.m. (London time) on 27 April 2020 (or such later time and/or date as the Joint Bookrunners may otherwise agree with the Company) (the "Closing Date");

3.                the warranties on the part of the Company contained in the Placing Agreement being true and accurate and not misleading, in each case in all material respects as at the date of the Placing Agreement and immediately prior to Admission, as though they had been given and made on such date by reference to the facts and circumstances then subsisting;

4.                the Company having complied with all of its obligations under the Placing Agreement and under these terms and conditions of the Placing which fall to be performed or satisfied on or prior to Admission; and

5.                between the date of the Placing Agreement and Admission there having been no material adverse change in, or any development involving or reasonably likely to involve a prospective material adverse change in, or affecting, the condition (whether financial, legal or otherwise), or the earnings, management, business affairs, properties, assets, solvency, credit rating or prospects of the Company or the Group (taken as a whole), whether or not arising in the ordinary course of business and whether or not foreseeable at the date of the Placing Agreement ("Material Adverse Change").

The Joint Bookrunners may (if they both agree), at their discretion and upon such terms as they think fit, waive compliance by the Company with the whole or any part of any of the Company's obligations in relation to the Conditions or extend the time or date provided for fulfilment of any Conditions in respect of all or any part of the performance thereof. The condition in the Placing Agreement relating to Admission taking place and certain announcement obligations may not be waived. Any such extension or waiver will not affect Placees' commitments as set out in this Announcement.

If: (i) any of the Conditions becomes incapable of being fulfilled (and is not waived) or if all the Conditions are not fulfilled or (where permitted) waived by the Joint Bookrunners by the relevant time or date specified (or such later time or date as the Company and the Joint Bookrunners may agree); or (ii) the Placing Agreement is terminated in the circumstances specified below under "Right to terminate under the Placing Agreement", the Placing will not proceed and the Placees' rights and obligations hereunder in relation to the Placing Shares shall cease and terminate at such time and each Placee agrees that no claim can be made by it or on its behalf (or any person on whose behalf the Placee is acting) in respect thereof.

Neither  of the Joint Bookrunners, nor the Company, nor any of their respective affiliates, agents, directors, officers or employees shall have any liability to any Placee (or to any other person whether acting on behalf of a Placee or otherwise) in respect of any decision they may make as to whether or not to waive or to extend the time and/or date for the satisfaction of any Condition to the Placing, nor for any decision they may make as to the satisfaction of any Condition or in respect of the Placing generally, and by participating in the Placing each Placee agrees that any such decision is within the absolute discretion of the Joint Bookrunners.

Right to terminate under the Placing Agreement

The Joint Bookrunners are entitled, at any time before Admission, to terminate the Placing Agreement in accordance with its terms in certain circumstances, including (amongst other things):

1.             where any of the warranties contained in the Placing Agreement was untrue, inaccurate or misleading when made and/or any of the warranties would be untrue, inaccurate or misleading if it were to be repeated at any time prior to Admission (by reference to the facts, matters and circumstances then subsisting) or the Company has or shall fail to comply with any of its obligations under the Placing Agreement which either Joint Bookrunner considers to be material in the context of the Placing or Admission;

2.             if any of the Conditions have (i) become incapable of satisfaction or (ii) not been satisfied before the latest time provided in the Placing Agreement and have not been waived if capable of being waived by the Joint Bookrunners; or

3.             the occurrence of a Material Adverse Change that is likely to materially and adversely affect the market's perception of the Company or certain force majeure events.

Upon termination, the parties to the Placing Agreement shall be released and discharged (except for any liability arising before or in relation to such termination) from their respective obligations under or pursuant to the Placing Agreement, subject to certain exceptions.

By participating in the Placing, each Placee agrees that (i) the exercise by either of the Joint Bookrunners of any right of termination or of any other discretion under the Placing Agreement shall be within the absolute discretion of such Joint Bookrunner and that it need not make any reference to, or consult with, Placees and that it shall have no liability to Placees whatsoever in connection with any such exercise or failure to so exercise and (ii) its rights and obligations terminate only in the circumstances described above under "Right to terminate under the Placing Agreement" and "Conditions of the Placing", and its participation will not be capable of rescission or termination by it after oral confirmation by the Joint Bookrunners of the allocation and commitments following the close of the Bookbuild.

Lock-up Arrangements

The Company has undertaken to the Joint Bookrunners that, between the date of the Placing Agreement and 90 days after the Closing Date, it will not, without the prior written consent of the Joint Bookrunners (such consent not to be unreasonably withheld or delayed) or as otherwise contemplated by the Placing Agreement or in accordance with any share incentive arrangement adopted by the Company prior to the date of the Placing Agreement, offer, issue, sell or contract to sell, issue options in respect of or otherwise dispose of any securities of the Company (or any interest therein or in respect thereof) or any other securities exchangeable for or convertible into, or substantially similar to, Ordinary Shares or enter into any transaction with substantially the same effect as, or agree to do, any of the foregoing.

By participating in the Placing, Placees agree that the exercise by either of the Joint Bookrunners of any power to grant consent to the undertaking by the Company of a transaction which would otherwise be subject to the lock-up provisions under the Placing Agreement shall be within the discretion of that Joint Bookrunner and that it need not make any reference to, or consult with, Placees and that it shall have no liability to Placees whatsoever in connection with any such exercise of the power to grant consent.

Registration and Settlement

Settlement of transactions in the Placing Shares (ISIN: GB00BH4JR002) following Admission will take place within the system administered by Euroclear UK & Ireland Limited ("CREST"), subject to certain exceptions. The Joint Bookrunners reserve the right to require settlement for, and delivery of, the Placing Shares (or any part thereof) to Placees by such other means that they may deem necessary if delivery or settlement is not possible or practicable within the CREST system or would not be consistent with the regulatory requirements in the Placee's jurisdiction.

Following the close of the Bookbuild, each Placee to be allocated Placing Shares in the Placing will be sent a trade confirmation in accordance with the standing arrangements in place with the relevant Joint Bookrunner stating the number of Placing Shares allocated to them at the Placing Price, the aggregate amount owed by such Placee to the relevant Joint Bookrunner and settlement instructions. Each Placee agrees that it will do all things necessary to ensure that delivery and payment is completed in accordance with the standing CREST or certificated settlement instructions in respect of the Placing Shares that it has in place with the relevant Joint Bookrunner.

The Company will deliver the Placing Shares to a CREST account operated by Liberum as settlement agent for the Company and Liberum will enter its delivery instruction into the CREST system.  The input to CREST by a Placee of a matching or acceptance instruction will then allow delivery of the relevant Placing Shares to that Placee against payment.

It is expected that settlement in respect of the Placing Shares will take place on 27 April 2020 on a delivery versus payment basis.

Subject to the conditions set out above, payment in respect of the Placees' allocation is due as set out below. Each Placee should provide its settlement details in order to enable instructions to be successfully matched in CREST. The relevant settlement details for the Placing Shares are as follows:

CREST Participant ID of Liberum:                                      ENQAN

Expected Trade Date:                                                         23 April 2020

Expected Settlement Date:                                                27 April 2020

ISIN code for the Placing Shares:                                      GB00BH4JR002

Deadline for Placees to input instructions into CREST: 12.00 p.m. on 24 April 2020

Interest is chargeable daily on payments not received from Placees on the due date in accordance with the arrangements set out above at the rate of two percentage points above LIBOR as determined by the Joint Bookrunners.

Each Placee is deemed to agree that, if it does not comply with these obligations, Liberum may sell any or all of the Placing Shares allocated to that Placee on such Placee's behalf and retain from the proceeds, for Liberum's account and benefit, an amount equal to the aggregate amount owed by the Placee plus any interest due. The relevant Placee will, however, remain liable for any shortfall below the aggregate amount owed by it and will be required to bear any stamp duty or stamp duty reserve tax or other taxes or duties (together with any interest or penalties) imposed in any jurisdiction which may arise upon the sale of such Placing Shares on such Placee's behalf.

If Placing Shares are to be delivered to a custodian or settlement agent, Placees should ensure that the trade confirmation is copied and delivered immediately to the relevant person within that organisation. Insofar as Placing Shares are issued in a Placee's name or that of its nominee or in the name of any person for whom a Placee is contracting as agent or that of a nominee for such person, such Placing Shares should, subject as provided below, be so registered free from any liability to UK stamp duty or stamp duty reserve tax. If there are any circumstances in which any stamp duty or stamp duty reserve tax or other similar taxes or duties (including any interest and penalties relating thereto) is payable in respect of the allocation, allotment, issue, sale, transfer or delivery of the Placing Shares (or, for the avoidance of doubt, if any stamp duty or stamp duty reserve tax is payable in connection with any subsequent transfer of or agreement to transfer Placing Shares), neither the of the Joint Bookrunners nor the Company shall be responsible for payment thereof.
