Total Voting Rights and Issued Share Capital

 

For the purposes of the Financial Conduct Authority's Disclosure Guidance and
Transparency Rules, M&G plc (the 'Company') notifies the market that as at
31 March 2026:

 

1.    The Company's issued share capital comprised 2,413,259,874 ordinary
shares of 5p each.

 

2.    The Company held 3,414,030 ordinary shares in Treasury. These shares
are not taken into consideration in relation to the payment of dividends and
voting at shareholder meetings.

 

Accordingly, the total number of voting rights in the Company is
2,409,845,844. This figure may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, the Company under the
Disclosure Guidance and Transparency Rules.

 

In accordance with PRM 1.6.4R, the Company confirms that between 1 March 2026
and 31 March 2026, the Company issued 297,314 ordinary shares of 5 pence each
under the M&G plc Sharesave Plan 2019 which were admitted to trading under
the Company's existing block admission of shares for this purpose dated 25
October 2024.

 

The notification below has been made in accordance with the requirements of
the UK Listing Rules and Prospectus Management Regime provides further detail.
