(the "Issuer")

Notice of Sale of 2044 Retained Bonds

£300,000,000 5.25 per cent. Secured Sustainability Bonds due 2044 (the
"Bonds")

 

The Issuer refers to the Bonds.  The Bonds were constituted and secured under
the bond trust deeds dated 4 April 2024 and 12 March 2025 each between the
Issuer and M&G Trustee Company Limited as bond trustee, pursuant to which
the Issuer immediately repurchased £100,000,000 in principal amount of the
Bonds on 4 April 2024 and £50,000,000 in principal amount of the Bonds on 12
March 2025 for sale at a future date (together, the "Retained Bonds").

Notice is hereby given that the Issuer has today sold £150,000,000 in
principal amount of its Retained Bonds.  The Retained Bonds sold were the
full balance of the Retained Bonds.

Following the sale, the aggregate outstanding principal amount of the Bonds in
issue will be £300,000,000.
