NOTIFICATION AND PUBLIC DISCLOSURE OF TRANSACTIONS BY PERSONS DISCHARGING
MANAGERIAL RESPONSIBILITIES AND PERSONS CLOSELY ASSOCIATED WITH THEM
GRANT OF SHARE OPTIONS
On 4 January 2024, the Company granted nil-cost options under the M.P. Evans
Group PLC Long Term Incentive Scheme (each an "Option" or collectively
"Options"), respectively to Mr Matthew Coulson, the chief executive, over
18,000 shares of 10p each in the Company and to Mr Luke Shaw, the chief
financial officer, over 12,000 shares of 10p each in the Company.
In each case the Option will normally vest and become exercisable on 4 January
2027, subject to continued employment. The Option is also in each case subject
to satisfaction of an 'underpin condition' linked to the general financial
performance of the Company and adherence to the Company's core strategic
pillars (Responsibility, Excellence, Growth, and Yield).
Any shares resulting from exercise of these Options (after any sales to fund
tax liabilities) will also be subject to a two-year holding period ending 4
January 2029.
The information set out below is provided in accordance with the requirements
of Article 19(3) of Regulation (EU) No. 596/2014 of the European Parliament
and of the Council of 16 April 2014 on market abuse, as it forms part of UK
domestic law by virtue of the European Union (Withdrawal) Act 2018, as amended
("UK MAR").
