Grant and Surrender of Options
Grant of New Options
The Company announces that on 28 April 2023, 525,000 options (the "New
Options") were granted over ordinary shares of 1 pence each in Maintel
("Ordinary Shares") to certain Directors and other employees, in accordance
with the rules of the Company's 2015 Long-Term Incentive Plan ("LTIP"),
incorporating the CSOP as a schedule.

The table below sets out all grants made under the LTIP to Directors:
The awards were made as market value priced options and the exercise price was determined
by reference to the previous dealing day's closing middle market price. The
awards are subject to the recipients' continuous employment. The awards are
not subject to the achievement of performance conditions. The normal date of
vesting for these options will be the third anniversary of the grant and the
last date for exercise will be tenth anniversary of the grant.
Surrender of Existing Options
The Company also announces that on 28 April 2023, Dan Davies and Gabriel
Pirona have surrendered, for no consideration, the following options over
Ordinary Shares (the "Surrendered Options") that were previously granted to
them pursuant to the terms of the LTIP.
