Results of Annual General Meeting
The Annual General Meeting of Maintel Holdings Plc was held at 160 Blackfriars
Road, London, SE1 8EZ on 30 May 2023 at 2:00 p.m.
All ten resolutions put to members were passed on a poll. Resolutions 1 to 7
were passed as ordinary resolutions and resolutions 8 to 10 were passed as
special resolutions.
The number of votes cast for and against each of the resolutions proposed, and
the number of votes withheld were as follows:

As at 30 May 2023, there were 14,361,492 ordinary shares in issue.
Shareholders are entitled to one vote per share. Votes withheld are not votes
in law and so have not been included in the calculation of the proportion of
votes for and against a resolution.

Ordinary Resolution 2
While the Board is pleased that all resolutions were carried, the Board notes
that Resolution 2 regarding the Remuneration Report gained support of 72.35%
in favour. The Board is committed to open and transparent dialogue with
shareholders and will engage with shareholders on remuneration matters.
Confirmation of Board Changes
Further to the announcement on 27 April 2023, Maintel confirms that Nicholas
Taylor has retired as a Non-Executive Director following the conclusion of the
AGM. The Board thanks Nicholas for his service to the Company.
