MARKS AND SPENCER GROUP PLC

ISSUE OF SHARES AND TOTAL VOTING RIGHTS

 

In accordance with PRM 1.6.4R, Marks and Spencer Group plc (the "Company")
announces that it has issued and allotted 7,507,025 ordinary shares of 1p each
(ISIN: GB0031274896) in connection with the Company's SAYE scheme. The shares
were issued on various dates between 2 January 2026 and 27 February 2026.

 

These shares were previously admitted to trading on the London Stock Exchange
Main Market under an existing block admission to trading in December 2023.

 

Following this issuance of shares, and for the purposes of DTR 5.6, the
Company's capital now consists of 2,064,647,580 ordinary shares with voting
rights. The Company does not hold any shares in Treasury at the date of this
disclosure.

 

The above figure (2,064,647,580) can be used by shareholders as the
denominator for the calculations by which to determine if they are required to
notify their interest in, or a change to, their interest in the Company under
the FCA's Disclosure Guidance and Transparency Rules.
