Block Admission

 

Marlowe plc ("Marlowe" or the "Group"), the leader in business-critical
services and software which assure regulatory compliance, announces that
application has been made for a block admission of 699,000 ordinary shares in
the capital of the Group ("Ordinary Shares") to be admitted to trading on AIM
("Admission") in respect of new Ordinary Shares which may be issued from time
to time on the exercise of options awarded under Marlowe's 2020 SAYE scheme
(the "SAYE Options"). The award of the SAYE Options was announced by Marlowe
on 2 September 2020.

New Ordinary Shares issued under the block admission will rank pari passu in
all respects with Ordinary Shares and it is expected that Admission will
become effective at 8.00 a.m. on 2 October 2023.

There is no change to the Group's issued share capital as a result of this
block admission and, following Admission the Group will continue to have
96,481,891 Ordinary Shares in issue. There are no shares held in treasury and
thus the total number of voting rights in the Group is 96,481,891.

The Group will notify on a monthly basis when there are changes to the issued
share capital of the Group, and these monthly figures may be used by
shareholders as the denominator for the calculation by which they will
determine if they are required to notify their interest in, or a change in
their interest in, the share capital of the Group, under the FCA's Disclosure
Guidance and Transparency Rules.
