Marlowe plc ("Marlowe", the "Group" or the "Company"), the UK leader in
business-critical services and software which assure regulatory compliance,
announces that on 27 March 2024, Kevin Quinn, Marlowe's Chairman, exercised
3,913 share options awarded pursuant to the Marlowe 2020 SAYE Scheme at an
exercise price of 460 pence per new ordinary share (the "Exercise").
Following the allotment of the new ordinary shares of 50 pence each in the
capital of the Company ("Ordinary Shares") to satisfy the Exercise, the
Company's issued ordinary share capital will comprise 96,811,631 Ordinary
Shares, none of which are held in treasury. Therefore, the total number of
Ordinary Shares with voting rights in Marlowe following admission will be
96,811,631.
The above figure of 96,811,631 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in the Company under
the FCA's Disclosure Guidance and Transparency Rules.
