Publication of 2026 Notice of AGM

McBride plc (the ‘Company’) announces that it has published its 2026 Notice of Annual General Meeting (the ‘2026 Notice of AGM’).

The Company will today post the following documents to shareholders who have elected to receive communications in printed form:

-          2026 Notice of Annual General Meeting (the ‘2026 AGM’)

-          Proxy Form for the 2026 AGM.

The documents are also available from the Company's website at www.mcbride.co.uk/investors/shareholder-information/agm/.

The 2026 AGM will be held at 2.00pm on Thursday, 19 November 2026 at Arbeta, 11 Northampton Road, Manchester, M40 5BP.

In compliance with UK Listing Rule 6.4.1, copies of the documents listed above have been submitted to the Financial Conduct Authority and will shortly be available for inspection from the Financial Conduct Authority's National Storage Mechanism at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.

Update on Share Buyback

The Board wishes to bring to the attention of shareholders that it is seeking an increase to the permitted authority to purchase the Company’s ordinary shares at the 2026 AGM.  The Board remains confident in the Group’s strategy and leading market position and continues to believe that the Company is undervalued based on the mid to long term prospects of the business. Consequently, having assessed the impact of the £20m share buyback programme announced on 20 November 2025, the Board confirms that it intends to complete the programme as soon as practical, using the authority granted at the Company’s 2025 AGM and, subject to it being passed at the 2026 AGM, the authority being sought at the 2026 AGM.

In the period from the launch of the share buyback on 1 December 2025 to the close of business on 19 October 2026, 5,799,623 ordinary shares in the Company have been acquired for a total consideration of approximately £8.65m (excluding stamp duty and costs).  The Board recognises that the pace of the share buyback has been slower than expected and is considering all options to deploy the remaining balance of the £20m programme more promptly.

As referenced above, the Board is seeking an increased authority to purchase back up to 14.99% of its ordinary share capital (excluding treasury shares), as opposed to the customary 10% limit.  The Board currently expects, subject to the necessary shareholder authority being granted at the forthcoming AGM, to follow the existing programme with a further share buyback programme if it continues to consider that the Company is undervalued given its mid to long term prospects and it to be in the best interests of the Company and of shareholders generally.

Further information on the proposed resolution and the rationale for seeking it is included in the 2026 Notice of AGM.
