** Shares of Canadian e-commerce solutions provider 
 MDF.TO  fall more than 4% to C$10.10
    ** Co announces public offering of 4 mln shares at C$10
apiece to raise total gross proceeds of C$40 mln ($30.40

    ** Offering price represents a discount of 5.4% to stock's
last close of C$10.57 on Friday
    ** Co also grants underwriters an option to purchase up to
600,000 shares more until 30 days after offering's closing date
    ** MDF shares have gained 46% so far this year
