Brief: Skystone Capital to change name, issue shares and buy MDI SA

Aug 21 (Reuters) - Skystone Capital SA  SKCP.WA : 
    * The extraordinary general meeting of its shareholders 
resolves to lower the company's capital via change of the 
nominal value of the company's shares to 3.50 zloty per share 
from 10 zloty per share and subsequently to raise capital via 
series B, C and D shares issue 
    * Resolves to raise its capital by 490,000 zlotys  
($131,515) via private issue of 140,000 series B shares at 4 
zlotys per share 
    * Resolves to raise its capital by 24.7 million zlotys via 
private issue of 7,060,000 series C shares at 4 zlotys per share 
    * Resolves to raise its capital by 131.0 million zlotys via 
private issue of 37,440,000 series D shares at 4 zlotys per 
share 
    * Series D shares will be subscribed for as swap for 12 
million shares of MDI SA 
    * Series D shares will be acquired by current shareholders 
of MDI SA: FIZ AN IPOPEMA 12, Miroslaw Markiewicz, Grzegorz 
Sochacki, Arkadiusz Gawel and Dorota Sochacka 
    * Resolves to change its name to MDI Energia SA
