COURT SANCTION OF SCHEME OF ARRANGEMENT
Melrose Industries PLC ("Old Melrose") announces that the scheme of arrangement pursuant to which a new listed holding company will be introduced for the Melrose group of companies (the"Scheme") has today been sanctioned and the associated reduction of capital confirmed by the Court. The orders of the Court are expected to be delivered to the Registrar of Companies tomorrow, at which time the Scheme will become effective. 
Upon the Scheme becoming effective, Scheme Shareholders will receive one New Melrose Ordinary Share in place of each Old Melrose Ordinary Share held by them at 6.00 p.m. today. The admission of 995,206,966 New Melrose Ordinary Shares to listing on the premium segment of the Official List and the commencement of dealings in New Melrose Ordinary Shares on the London Stock Exchange's main market for listed securities is expected to take place no later than 8.00 a.m. tomorrow. 
A further announcement will be made when the Scheme has become effective. The expected timetable of remaining key events remains unchanged.
Terms used in this announcement shall have the same meanings as set out in the Circular to Old Melrose Shareholders dated 6 October 2015.
