Voting Rights and Capital Structure
In accordance with Disclosure and Transparency Rules 5.6.1 and 5.6.1A, we would like to notify the market of the following:
Following the share capital consolidation described in the circular to shareholders dated 3 February 2015 and approved at the general meeting on 20 February 2015, the share capital of Melrose Industries PLC now consists of 995,206,966 ordinary shares of 7/55 pence each with each share carrying the right to one vote.
Melrose Industries PLC holds no ordinary shares in treasury.
Therefore, the total number of voting rights in Melrose Industries PLC as at 23 February 2015 is 995,206,966.
The above figure (995,206,966) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Melrose Industries PLC under the FCA's Disclosure and Transparency Rules.
