Grant of Options
MindGym, the global provider of human capital and business improvement solutions, is pleased to announce that it has launched the seventh year of a Save As You Earn Scheme (the "SAYE Scheme") for all eligible employees in the UK and Singapore.
Eligible employees were invited to subscribe for options ("Options") over the Company's Ordinary Shares of
0.001 pence each ("Ordinary Shares") which have been granted at an exercise price of 14.45 pence per Ordinary Share in accordance with the terms of the SAYE Scheme. As set out in the scheme rules, the exercise price is determined by the average closing price of an Ordinary Share across 16, 17 and 18 June 2025, the three dealing days before the invitation was made, discounted at 15%. The Options were granted on 11 July 2025 and have a contract start date of 1 August 2025 and are exercisable from 1 August 2028.
A total of 13 out of 141 eligible employees have elected to participate in the SAYE Scheme and a total of 855,900 Options have been granted in the 2025 scheme, representing 0.85% of the issued share capital.
