Grant of Restricted Share Units & Exercise of Options Resulting in Issue

GEORGE TOWN, CAYMAN ISLANDS, August 20, 2025 - Mineral and Financial
Investments Limited (LSE-AIM: MAFL) ("M&FI" or the "Company") is an London
Stock Exchange AIM quoted Investment company focused on natural resource
investments with an focus on mining and mineral sector by providing
investment, financing and advisory services to its investee companies,
announces the grant of Restricted Share Units ("RSU") to certain directors
under its 2021 Restricted Share Unit Scheme ("2021 RSU Scheme"). Full details
are set out in the Company's 2021 Annual General Meeting documentation and
were approved by the shareholders of the Company at that AGM. The board notes
that it has not granted any RSU's or Options since 2022.
Grant of Restricted Share Units ("RSU")
The RSU's have been issued over 1,000,000 ordinary shares to certain directors
and employees. The RSU's will have a 5-year term and vest in three equal
instalments over a three ("3") year vesting period, with a reference market
price of 23.0p per Share being the share price on 12 August 2025. The effect
of the RSU is that it is a future claim to draw down the underlying shares for
the recipient which allows them to manage their personal finances accordingly.

Exercise of Options
The Company announces that it has received a notice of exercise in respect of
share options over 350,000 ordinary shares of 1.0p each in the Company at an
exercise price of 13.50 pence by a consultant of the Company.
Application has been made for 350,000 new ordinary shares each in the Company
("New Ordinary Shares") to be admitted to trading on AIM. The New Ordinary
Shares will rank pari passu with the Company's existing ordinary shares and it
is expected that admission will occur at 8.00 a.m. on 21 August 2025.
Following admission of the New Ordinary Shares, the Company's issued ordinary
share capital will comprise 37,905,871 ordinary shares, none of which are held
in treasury. Therefore, the total number of ordinary shares with voting rights
in following admission will be 37,905,871.
The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in the Company under the FCA's
Disclosure Guidance and Transparency Rules.
