NOTICE IS HEREBY GIVEN that the 2022 Annual General Meeting of Ming Yang Smart
Energy Group Limited will be held at conference room on the 5th floor of Ming
Yang Smart Energy Group Limited, Ming Yang Industrial Park, No.22, Torch
Avenue, Zhongshan Torch High-tech Industrial Development Zone, Zhongshan City,
Guangdong, People's Republic of China, on Thursday, 25 May 2023 at 15:00
(Beijing Time), for the purpose of considering, and if thought fit, passing
the following resolutions.

 

Ordinary Resolutions

1. To consider and approve the 2022 Annual Work Report of the Board of
Directors

2. To consider and approve the 2022 Annual Work Report of the Board of
Supervisors

3. To consider and approve the 2022 Annual Work Report of Independent
Directors

4. To consider and approve the Final Account Report for the Year 2022

5. To consider and approve the 2022 Annual Report

6. To consider and approve the Proposal on the Preliminary Profit Distribution
Plan for 2022

7. To consider and approve the Proposal on the Remuneration of Non-independent
Directors for 2022

8. To consider and approve the Proposal on the Remuneration of Independent
Directors for 2022

9. To consider and approve the Proposal on the Remuneration of Supervisors for
2022

10. To consider and approve the Proposal on the Estimated Amount of Daily
Related Party Transactions of the Company for 2023

 

Special Resolution:

11. To consider and approve the Proposal on the Estimated External Guarantee
Quota of the Company for 2023

12. To consider and approve the Proposal on the Application to Financial
Institutions for Credit Facilities by the Company in 2023
