Mitie Group plc (the "Company") - Voting Rights and Capital

Further to the announcement on 1 June 2023, and in accordance with the
Disclosure Guidance and Transparency Rules (DTR 5.6), the Company hereby
notifies the market that, as at 30 June 2023, the issued share capital and
voting rights of the Company were as follows:

 

 Class of share:                      Ordinary 2.5p
 Total number of issued shares*:      1,365,906,409

 Voting rights per share:             1
 Total number of voting rights

 for all classes of issued shares*:   1,350,906,409

 Total number of shares held
 in treasury:                         15,000,000

* These figures include 49,837,043 shares currently held in the Company's
employee benefit trust, which are excluded from the Company's EPS calculation.

 

The total number of voting rights may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest, or a change to their interest, in the
Company under the FCA's Disclosure Guidance and Transparency Rules.
