Performance Share Plan award to Directors and PDMRs

 

The Company announces that on 25 September 2023, under the Company's Long Term
Incentive Plan (the "Plan"), that the Directors and Persons Discharging
Management Responsibilities ("PDMR") listed below were granted nil-cost share
options ("Option") over a total of 650,829 Ordinary shares of 2p each in the
Company ("Shares").

These awards were granted pursuant to the Plan approved by shareholders in
December 2016 and amended by the Board in accordance with paragraph 19.2 of
the Plan, in September 2023.

 

No consideration was paid for the grant of the Option. The number of Shares
subject to the Option was calculated based on a share price of 426p, being the
mid-market closing price, as derived from the London Stock Exchange daily
Official List, for dealings on 22 September 2023

 

Vesting of the Option is conditional upon achieving certain performance
targets over the three-year performance period ending 30 June 2026. For Graham
Prothero and Stefan Allanson, these targets will be disclosed in the Company's
FY23 Annual Report.

 

The Option will vest, and will be capable of exercise as follows:
