Performance Share Plan award to Directors and PDMRs

 

The Company announces that on 28 October 2024 under the Company's Long Term
Incentive Plan (the "Plan"), that the Directors and Persons Discharging
Management Responsibilities ("PDMR") listed below were granted nil-cost share
options ("Option") over a total of 482,362 Ordinary shares of 2p each in the
Company ("Shares").

Each Option was granted pursuant to the Plan approved by shareholders in
December 2016 and amended by the Board in accordance with paragraph 19.2 of
the Plan, in September 2023.

 

No consideration was paid for the grant of the Options. The number of Shares
subject to each Option was calculated based on a share price of 608p, being
the mid-market closing price, as derived from the London Stock Exchange daily
Official List, for dealings on 25 October 2024.

 

Vesting of each Option is conditional upon achieving certain performance
targets over the three-year performance period ending 30 June 2027. For Graham
Prothero and Stefan Allanson, these targets will be disclosed in the Company's
FY24 Annual Report and, to the extent vested, the Options will not normally
become exercisable until the Company announces its financial results for the
financial year ending 30 June 2029.
