    * BVI Company, an indirect wholly-owned subsidiary of 
company, entered into MOU with Sino Grand Investment Holdings 
    * MoU in relation to possible acquisition of 100% equity 
interest in target company 
    * Target company is Grace Sliver Limited 
    * Consideration to be satisfied by cash, allotment & issue 
of shares and/or convertible bonds carrying rights to convert
