MYCELX Technologies Corporation ("MYCELX" or the "Company"), the clean water
and clean air technology company established to transform the environmental
impact of industry, announces, further to the Placing and Subscription this
morning, the following participation by Directors of the Company.

Total Voting Rights

In conformity with the FCA's Disclosure Guidance and Transparency Rules (the
"Rules") provision 5.6.1, the Company would like to notify the market that
following Admission on 4 September 2024 its issued share capital will consist
of 24,315,271 Common Shares of US$0.025 each.

Shareholders should use 24,315,271 as the denominator for the calculations by
which they will determine if they are required to notify their interest in, or
a change to their interest in, the Company under the Rules.

Terms and definitions used in this announcement shall have the same meaning as
ascribed to them in the Proposed Placing and Subscription Announcement
released at 7:00 a.m. on 23 August 2024, unless the context requires
otherwise.
