 * Nan hai corp-(1) proposed issue of convertible and exchangeable bonds by a 
   wholly-owned subsidiary; and (2) possible major transaction relating to 
   deemed disposal of partial interest in a wholly-owned subsidiary  0680.HK  
 * Unit, the investor and the company entered into the subscription agreement 
 * Issuer to issue and investor to subscribe for bonds with an aggregate 
   principal amount of RMB1 billion on completion 
 * Nan hai corporation- issuer shall apply proceeds from issue of bonds for 
   funding continued operation of business of Guangdong dadi
