 Transaction in Own Shares

NCC GROUP PLC ("NCC", or the "Company") announces it has purchased the
following number of its Ordinary shares of 1p each through Peel Hunt LLP.

 Date of purchase                         31 March 2026
 Number of ordinary shares purchased:     267,317
 Lowest price per share (pence):          115.60
 Highest price per share (pence):         117.00
 Weighted average price per day (pence):  116.91

The Company intends to cancel the purchased shares and following the
cancellation of the purchased shares, the Company will have 289,438,892
Ordinary shares in issue of which 0 are held in Treasury.

 

 2.9 Announcement

In accordance with Rule 2.9 of the City Code on Takeovers and Mergers (the
"Code"), NCC confirms that, as at the date and time of this announcement, it
has in issue 290,118,079 ordinary shares with a nominal value of 1 pence each,
all of which carry one voting right per share ("Ordinary Shares"). The Company
does not hold any Ordinary Shares in treasury. Therefore, the total number of
voting rights in the Company is 290,118,079.

 

The International Securities Identification Number for the Ordinary Shares is
GB00B01QGK86. The Company's Legal Entity Identifier is 213800DJCGZRB6523934.

of the buyback programme which was announced by the Company on 06 March 2026
