    * Says co's international subsidiary will merge with 
technology firm Sentelic Corp, via stock swap, effective on Oct. 
1 
    * One share of the subsidiary's stock will be exchanged with 
0.9 share of Sentelic Corp's stock 
    * Says Sentelic Corp will be the surviving company after the 
transaction
