Bankshares Inc in cash-and-stock deal 
    ** Deal valued at $158 mln as per Nicolet's last close of

    ** Charter shareholders will receive $38.8 mln in cash and
1.26 mln shares of Nicolet under terms of deal
    ** Combined co will have $8.8 bln in pro-forma total assets
    ** Deal is expected to close in Q3 2022
    ** NCBS was up marginally at $95 in early trade
    ** YTD, NCBS up 10.8%
