Northern Bear announces that it was notified on 29 July 2019 that Wensley Roofing Ltd Directors Pension Scheme, of which Keith Soulsby, a director of the Company, is one of the beneficiaries, sold  173,191 ordinary shares of 1p each in the Company (the "Ordinary Shares") at a price of 66 pence per Ordinary Share on 25 July 2019 (50,000 Ordinary Shares) and 29 July 2019 (123,191 Ordinary Shares) (the "Transactions").
 
Following the Transactions, Mr. Soulsby and his spouse are now directly interested in 497,820 Ordinary Shares representing, in aggregate, approximately 2.69 per cent. of the share capital of the Company. Wensley Roofing Ltd Directors Pension Scheme holds no further Ordinary Shares in the Company. The Transactions were made by Wensley Roofing Ltd Directors Pension Scheme in order to realise assets for the distribution of pension benefits.
