Oakley Capital Investments Limited

Appointment of Chair Designate and Non-Executive Director

Oakley Capital Investments Limited(1) ("OCI") is pleased to announce the
appointment of Christopher Samuel and Kiernan Bell as Independent
Non-Executive Directors, effective 17 November 2025. Christopher Samuel will
become Chair of the Board in March 2026 after a planned transition period and
both appointments are subject to shareholder approval at the Company's 2026
AGM.

Christopher is an experienced Chair and non-executive director with extensive
financial services expertise. Formerly the Chief Executive of Ignis Asset
Management, Christopher also held board-level executive positions at several
asset management businesses including Gartmore, Hill Samuel Asset Management
and Cambridge Place Investment Management. Prior to that he worked at
Prudential-Bache and KPMG, where he qualified as a Chartered Accountant.
Christopher is currently the Chair of Scottish Mortgage Investment Trust plc
and a non-executive director of Quilter plc having previously been Chair of
BlackRock Throgmorton Trust plc, Quilter Financial Planning Limited, JP Morgan
Japanese Investment Trust plc and a non-executive director at Alliance Trust
plc, Sarasin, UIL Limited and UIL Finance Limited.

Kiernan Bell is an experienced legal professional with over 30 years'
experience in corporate governance, restructuring, and commercial litigation.
She has held board positions at several prominent international and financial
services companies, including Atlas Arteria International Limited, Wilton
Reinsurance Bermuda Limited, and HSBC Bermuda Limited. Kiernan is the former
managing partner of the Bermuda office of global law firm Appleby. She also
sits on the panel of Assistant Justices of the Supreme Court of Bermuda and
previously served as an Independent Senator(2) in the Senate of Bermuda.

In addition, Kiernan currently sits as a director on the board of Atlas
Arteria International Limited ("ATLIX"), an exempted mutual fund company
incorporated in Bermuda with global infrastructure investments. The securities
of ATLIX and Atlas Arteria Limited, a public company incorporated in
Australia, are stapled and trade together on the Australian Securities
Exchange (ASX) as Atlas Arteria and are part of the ASX100.

No further information is required to be disclosed, in respect of either Mr
Christopher John Loraine Samuel or Ms Kiernan Jane Bell, pursuant to rule
6.4.8R of the UK Listing Rules.

As at 28 October 2025 Christopher Samuel, and persons closely associated with
him, holds 22,398 shares in OCI.

Steve Pearce, Interim Chair of OCI, commented:

"We welcome Christopher and Kiernan to our Board. Christopher brings deep
industry expertise and a thoughtful, strategic approach to leadership, which
will be a great asset to OCI. The transition period ahead of him becoming
Chair in March will allow for a smooth handover and full engagement with
stakeholders as we plan for OCI's next phase of growth. Kiernan also brings
considerable expertise; her extensive board experience and legal insight will
further enhance the strength and depth of the Board."

Christopher Samuel added:

"I am joining OCI at a time of real momentum for the Company. OCI has a strong
track record of delivering outperformance and is widely recognised as a
leading listed private equity fund. While the recent move to the Main Market
and inclusion in the FTSE 250 reflect a clear strategic ambition to broaden
investor access and enhance market visibility, the Board remains rightly
focused on addressing the long-term discount to NAV at which the shares trade.
I look forward to working with the Board as we explore various strategies to
improve OCI's rating, and drive shareholder returns."
