** Sun Pharmaceutical SUN.NS rises as much as 5.5% to 1,709 rupees; top gainer on Nifty 50 index .NSEI

** Co will acquire Organon & Co OGN.N in all-cash deal, valuing U.S. drugmaker at ~$11.75 billion, including debt

** Sun Pharma will buy all outstanding shares of Organon for $14, a more than 24% premium to last close

** Deal would help co expand its women's health portfolio with access to Organon's portfolio of more than 70 products across women's health and general medicines

** ICICI Securities says acquisition appears strategically challenging, noting execution risks and limited near-term growth levers, with potentially better margin profile the lone upside

** Stock rated "buy" on avg; median PT is 1,975.50 rupees, per data compiled by LSEG

** YTD, SUN down 2.5%
