PDMR Shareholding, Exercise of Options
& Total Voting Rights
Oxford Metrics (OMG plc LSE: OMG), the international software company servicing government, life sciences, entertainment and engineering markets, announces that it has today issued and allotted 1,812,750 ordinary shares of 0.25 pence each in the capital of the Company ("Ordinary Shares") following an exercise of options ("Options") by certain directors of the Company ("Directors"). Application will be made to the London Stock Exchange for admission of the 1,812,750 Ordinary Shares to trading on AIM ("Admission") and it is expected that Admission will take place and that trading will commence on AIM on 12 December 2017.
Nick Bolton, Chief Executive Officer, today exercised Options over 1,208,500 Ordinary Shares and has sold 616,181 Ordinary Shares. David Deacon, Chief Financial Officer, today exercised Options over 604,250 Ordinary Shares and has sold 308,090 Ordinary Shares. The sale of shares has been made to fund both the exercise cost of share options and the personal tax liability which crystallised on the exercise of those share options. The net shares remaining from the exercise of options after this sale have been retained increasing each Director's shareholding.
Following these transactions, Nick Bolton's interest in the captial of the Company totals 2,383,565 Ordinary Shares representing 1.9% of the Company's current total issued share capital and total voting rights and David Deacon's interest in the captial of the Company totals 1,146,821 Ordinary Shares representing 0.9% of the Company's current total issued share capital and total voting rights.
Total Voting Rights
Following Admission, the Company will have 124,905,475 Ordinary Shares in issue with each share carrying the right to one vote. The Company has no Ordinary Shares held in treasury. The total number of voting rights in the Company following Admission will therefore be 124,905,475.
