Appointment of new Chair

 

PageGroup plc, the specialist recruitment consultancy (the "Company") is
pleased to announce that Angela Seymour-Jackson has been appointed as
Chair-designate with effect from today. Angela Seymour-Jackson will succeed
David Lowden as Chair when he retires from the Board on 30 April 2022. David
Lowden has served on the Board since August 2012. Angela Seymour-Jackson's
appointment follows a thorough and comprehensive process undertaken by the
Nomination Committee, led by Patrick De Smedt, Senior Independent Director.

 

Angela Seymour-Jackson joined the Company as a Non-Executive Director in 2017
having previously been Chief Executive of RAC Limited. She has also held
senior Executive roles with Aegon UK and Aviva UK Limited, and was Senior
Advisor to Lloyds Banking Group (Insurance). Angela Seymour-Jackson is an
experienced Non-Executive Director and Committee Chair currently serving on
the Boards of Trustpilot, Future and Janus Henderson, having previously been a
member of the Boards of GoCo, Rentokil Initial and esure.

 

On appointment as Chair, and in line with the UK Corporate Governance Code,
Angela Seymour-Jackson will step down as Chair of the Remuneration Committee
and will cease to be a member of this Committee. With effect from 1 May 2022,
Angela Seymour-Jackson will also cease to be a member of the Company's Audit
Committee and will become Chair of the Company's Nomination Committee.  The
Nomination Committee will commence a recruitment process to appoint a new
Non-Executive Director and Chair of the Remuneration Committee in due course.

1.    The Board currently considers Angela Seymour-Jackson to be an
independent non-executive director in accordance with the UK Corporate
Governance Code and have determined that she will be independent upon
appointment as Chair.

 

2.    Angela Seymour-Jackson will receive an annual fee of £225k per annum
in respect of the Chair duties from 1 May 2022.
