Jan 5 (Reuters) - Pegasus International Holdings Ltd  0676.HK : 
 * Says group will undergo a group restructuring and distribution in specie 
 * Subject to completion of the distribution in specie, the controlling 
shareholder will make the privateco offer 
 * Was informed by controlling shareholder that it was considered not feasible 
to proceed with distribution in specie & privateco offer 
 * Upon completion of distribution in specie, would not have sufficient level of 
operations to warrant its continued listing on stock exchange 
 * As of 5 January, the purchaser remained uncontactable 
 * Application has been made for resumption of trading with effect from 9:00 
a.m. on 6 January 2016 
 * Received injunction order and an amended order against purchaser and yucheng 
international 
 * Says order will remain in force until trial or further order
