** Shares of casino operator PENN Entertainment PENN.O fall nearly 5% to about $12.40 in morning trading

** Co signed a cooperation agreement with activist investor HG Vora Capital Management, added three new independent directors to its board

** It added Heather Ace, Jeffrey Fox and Fabio Schiavolin to its board as part of the agreement

** The company is expected to report its fourth-quarter results later this week on February 26

** Including session's moves, shares down 15.9% YTD
