Appointment of Board Director

 

Pennpetro Energy plc (PPP), the company focused on developing strategic energy
projects, is pleased to announce the appointment of Justin Fraser Jones as
Non-Executive Director of the Company with immediate effect. Mr Jones brings
over 30 years' experience in governance, risk management, regulatory
compliance and forensic investigation, including a distinguished senior career
in UK law enforcement specialising in financial crime, anti-money laundering
and complex investigations. Mr Jones's appointment further strengthens the
independent oversight and governance capability of the Pennpetro board.

About Justin Fraser Jones

Justin Fraser Jones (age 63) is a Chartered Management Institute qualified
senior leader with over 30 years' experience in governance, risk management,
regulatory compliance, financial oversight and strategic delivery, with deep
expertise in forensic investigation, financial crime and board-level advisory
services.

Mr Jones is a former Detective Chief Inspector and Senior Investigating
Officer with Hertfordshire Constabulary (1982 to 2012), where he led major
investigations into serious organised crime, money laundering and fraud, with
full accountability for governance, evidence integrity, risk management and
regulatory compliance. He holds specialist expertise in anti-money laundering,
the Regulation of Investigatory Powers, Human Rights legislation and data
protection, and was awarded both a Judge's Commendation and a Chief
Constable's Commendation during his service.

Since leaving the police service, Mr Jones has built a portfolio of board and
consultancy roles. He is currently a director and shareholder of Deuce
Consultancy Limited, through which he provides forensic investigation,
strategic advisory and corporate governance services to commercial clients.

affairs and of the operational matters we have been addressing in the United
States.

Existing relationship with the Company

As referenced above, Mr Jones is a director and shareholder of Deuce
Consultancy Limited, which has provided forensic investigation and advisory
services to the Company. The Company and Mr Jones have given full
consideration to the existing relationship and are satisfied that Mr Jones is
able to bring independent judgement to the affairs of the Company. Mr Jones
will declare and manage any specific conflicts of interest as and when they
arise, in accordance with his duties as a director and the Company's conflicts
of interest policy.

There is no additional information required to be disclosed pursuant to UK
Listing Rule 6.4.8 in relation to the appointment of Mr Jones.
