Notification of Transaction by Person Discharging Managerial Responsibilities
('PDMR')

and Persons Closely Associated ('PCA') with them

 

PensionBee Group plc (the 'Company') notifies that Mark Wood CBE, a PDMR and
Director of the Company, has transferred by way of gift 65,000 ordinary shares
of £0.001 each ('Ordinary Shares') in the Company to Lisa Walden, a person
closely associated ('PCA') with him. The transfer took place on 14 June 2022

 

Following the transfer Mark Wood CBE holds 2,762,200 Ordinary Shares and Lisa
Walden holds 65,000 Ordinary Shares.

 

The Notification of Dealing Forms for each PDMR/PCA are set out below.

 

This notification is made in accordance with the requirements of Article 19 of
the UK Market Abuse Regulation.

 

This transaction was entered into in accordance with exceptions from the lock
up arrangements applicable to Independent Non-Executive Directors (as defined
in the prospectus published in relation to the initial public offering of the
Company's shares on 26 April 2021 (Prospectus)), as described within paragraph
10.2 (Exceptions to the Director, Existing Shareholder and Optionholders
Lock-up Arrangements) of Part IX (Details of the Offers) of the Prospectus.
Notwithstanding the transaction, the Ordinary Shares remain subject to the
terms of such lock up arrangements.
