Total Voting Rights

In accordance with PRM 1.6.4R, PensionBee Group plc ('PensionBee' or the
'Company') confirms that between 1 April 2026 and 30 April 2026, the Company
issued a further 283,180 ordinary shares of £0.001 ('Shares') (ISIN:
GB00BNDRLN84) under the PensionBee Group plc Omnibus Plan.(1)

In accordance with Disclosure Guidance and Transparency Rule 5.6.1, the
Company confirms that, as at 30 April 2026, its issued share capital comprised
238,240,572 Shares. The Company does not hold any Shares in treasury. The
total number of voting rights attributable to the Shares is therefore
238,240,572.

The above figure of 238,240,572 Shares may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, the
Shares under the Financial Conduct Authority's Disclosure Guidance and
Transparency Rules.
