Exercise of Share Options, PDMR Dealings and Total Voting Rights

 

Personal Group Holdings Plc (AIM: PGH), the workforce benefits and services
provider, announces that Deborah Frost, Chief Executive Officer, has exercised
options over 29,615 new ordinary shares in the Company ("New Ordinary Shares")
at an exercise price of £0.05 per ordinary share. These options were granted
to Deborah in conjunction with the Personal Group Holdings Plc 2021 Long Term
Incentive Plan, as announced on 7 April 2021. Application has been made for
the New Ordinary Shares to be admitted to trading on AIM.

 

The New Ordinary Shares will rank pari passu with the Company's existing
ordinary shares and it is expected that admission will occur at 8.00
a.m. on 14 June 2022 ("Admission").

 

Following Admission, the Company's issued ordinary share capital will comprise
31,248,822 ordinary shares, none of which are held in treasury. Therefore, the
total number of issued ordinary shares carrying voting rights in Personal
Group following Admission will be 31,248,822. Following Admission, Deborah
Frost will hold a total of 333,678 ordinary shares in the Company,
representing approximately 1.068 per cent. of its enlarged issued share
capital.

 

The above figure of 31,248,822 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in the Company under
the FCA's Disclosure Guidance and Transparency Rules.
