Completion of Snaitech sale

 

Further to the announcements on 17 September 2024 and 9 April 2025, Playtech
plc (LSE: PTEC) is pleased to announce that the sale by Playtech's group of
Snaitech S.p.A. to a subsidiary of Flutter Entertainment plc for a total cash
consideration of approximately €2,300 million completed on 30 April 2025.

 

Completion of the Transaction enables Playtech to focus on its technology-led
offering in high-growth B2B gambling markets with an accelerated growth plan
and an extensive portfolio of strategic ventures. The Board believes that
there is significant further upside from Playtech's simplified business model
and focused B2B strategy going forward.

 

The Company reconfirms that it intends to return €5.73 per share to
shareholders by way of a special dividend (the "Special Dividend"). The
Special Dividend is now expected to be declared shortly and to be paid in June
2025. A further announcement including a detailed dividend timetable
(including the ability for shareholders to elect to receive the Special
Dividend in Sterling rather than Euros) will be made in due course.

 

The Company also confirms that there has been no material change affecting any
matter contained in the Company's RNS announcement dated 17 September 2024
under UK Listing Rules 7.3.1R or 7.3.2R ('material' for these purposes having
the meaning given to it in UK Listing Rule 7.3.14R).

 

Defined terms used in this announcement have the same meaning where defined in
the Company's RNS announcement dated 9 April 2025, unless otherwise defined
herein.
