Directorate and Committee Change

 

Pod Point, one of the UK's market leading providers of Electric Vehicle
("EV") charging solutions in the UK, announces a Directorate change and
dissolution of its Technology Committee (the "Committee").

 

Norma Dove-Edwin and Erika Schraner, independent Non-Executive Directors, have
notified the Board of their intention not to seek re-election at Pod Point's
forthcoming AGM on 5th June 2025, to enable them to pursue other
opportunities that align with their current professional goals and other
commitments.

 

In line with the Company's evolution and strategic direction at this stage of
its development, the Board has determined that a more streamlined governance
structure will enhance its agility and decision-making effectiveness and has
decided not to reappoint new independent Non-Executive Directors at this time.
The composition of the Board will continue to be compliant with the UK
Corporate Governance Code.

 

The Technology Committee was established last year to strengthen the Group's
technology strategy during a period of leadership transition. Having
successfully achieved its objectives, including the recruitment of the Chief
Information Officer and Chief Product & Technology Officer positions and
with the strengthening of the senior executive team, the Board is now
confident that technology governance can be effectively integrated into the
core Board activities.

contribution they have made to the Board and Company and wish them well for
the future.  I would also like to thank them both for their contribution to
