Polar Capital Holdings plc ("Polar Capital" or the "Company")
Notification of Transactions by Persons Discharging Managerial
Responsibilities (PDMRs)
Vesting of 2022 Executive Long Term Incentive Plan ("LTIP")
16 July 2025 was the third anniversary of grant, and the vesting date of the
2022 Executive LTIP awards granted to Gavin Rochussen, Samir Ayub, Iain Evans,
Alexander Black and Nicholas Farren. Details of the original grant on 16 July
2022 are contained in RNS No. 3288T.
The terms of the LTIP award provided for vesting in full on the third
anniversary of grant, with the award being subject to a two-year holding
period.
The LTIP awards vested at 28.5%, with full details available in the 2025
Annual Report.
The following table provides details of the vesting and release date of the
awards:

2022 Other LTIP award granted to Boura Kym Tomlinson Cann.
The terms of the Other LTIP award provided for vesting in full on the third
anniversary of grant.

First Vesting of the 2024 Senior Manager Replacement Award

The terms of the Replacement award provide for vesting in equal tranches on
the first and second anniversaries of grant, subject to continued employment.
