Application for listing and total voting rights

 

In connection with the scrip dividend offer made in respect of the first
quarterly interim dividend for 2022 of 1.625 pence per ordinary share
announced on 6 January 2022 ("Scrip Offer"), the Company announces that it has
received valid elections from shareholders holding a total of 40,037,423
ordinary shares of 12.5p each in the capital of the Company ("Ordinary
Shares") resulting in a requirement to issue 443,423 new Ordinary Shares ("New
Shares").

PHP has therefore made application for the New Shares to be issued in
connection with the Scrip Offer to be admitted to the premium segment of the
Official List of the Financial Conduct Authority and to trading on the main
market for listed securities of the London Stock Exchange respectively.

Admission of the New Shares is expected to be effective on 25 February 2022.
Following admission and in accordance with the Disclosure and Transparency
Rules of the Financial Conduct Authority, the Company will have 1,333,331,608
Ordinary Shares in issue, each share carrying the right to one vote. The
Company does not hold any shares in treasury.

The above figure of 1,333,331,608 Ordinary Shares may be used by shareholders
in the Company as the denominator for the calculation by which they will
determine if they are required to notify their interest in, or a change to
their interest in, the share capital of the Company under the Disclosure
Guidance and Transparency Rules of the Financial Conduct Authority.
