Dec 11 (Reuters) - Pro-Dex Inc  PDEX.O : 
 * On December 10 entered into asset purchase deal,dated December 8, with 
   fineline molds, and the shareholders of fineline 
 * Says Pro Dex-agrees to acquire substantially all of the assets of fineline 
   and assume certain specified liabilities -SEC filing 
 * Says aggregate purchase price for the asset purchase is $750,000 
 * Of the purchase price of $750,000, $650,000 is to be paid in cash by co at 
   closing
