Board changes
ProCook Group plc ("ProCook" or "the Group"), the UK's leading
direct-to-consumer specialist kitchenware brand, today announces an update on
Board changes.
Following the announcement on 26 September 2022, that Steve Sanders intends to
retire, the Board has decided not to replace his role on the Plc Board and has
reviewed the optimal Board structure for the Group in order to remain in line
with best corporate governance practice, without extraneous cost.
In the process of those discussions, Gillian Davies has indicated her
intention to resign from the board. In order to affect a smooth handover of
her role as Chair of the Audit Committee, Gillian will step down from the
Board following the announcement of the Group's half year results, which is
expected to be in mid December 2022. David Stead, the Group's Senior
Independent Director, will take over the role of Chair of the Audit and Risk
Committee and Luke Kingsnorth will assume David's current role of Chair of the
Remuneration Committee at that time.
Steve Sanders will stand down from the Plc board on the same day as Gillian,
although he will continue in his role as Chief Operating Officer until Spring
2023, as previously announced.
