ProVen VCT plc (the "Company")

New Offer for Subscription (the "Offer")

The Company is pleased to announce its intention to launch an Offer to raise
up to the Sterling equivalent of €5 million (approximately £4.5 million) by
way of an issue of new ordinary shares in the Company. This is the maximum
amount allowed under the EU Prospectus Directive 2003/71/EC without the issue
of a full prospectus.
