    ** Co enters agreement to acquire Texas-based Electronic
Transaction Consultants LLC (ETC) from private equity firm Align

    ** Deal includes total cash consideration of C$150 mln
($119.32 mln) plus transaction-related expenses, to be funded by
a combination of cash-on-hand and debt financing
