RULE 19.6(C) CONFIRMATION IN RESPECT OF POST-OFFER INTENTION STATEMENTS WITH REGARD TO DAEJAN HOLDINGS LIMITED (FORMERLY KNOWN AS DAEJAN HOLDINGS PLC)

 

 

Dock Newco Limited ("Dock") (a wholly-owned subsidiary of Centremanor Limited),  announces that further to the completion of its recommended cash offer for the entire issued and to be issued ordinary share capital of Daejan Holdings plc ("Daejan") not already owned directly or indirectly by the Freshwater Concert Party, which was effected by way of a scheme of arrangement under Part 26 of the Companies Act 2006 on 7 May 2020, it has duly confirmed in writing to The Panel on Takeovers and Mergers in accordance with the requirements of Rule 19.6(c) of The City Code on Takeovers and Mergers (the "Code"), that Dock has complied with its post-offer intention statements made pursuant to Rule 24.2 of the Code, as detailed in the scheme document published on 3 April 2020 ("Scheme Document").

Capitalised terms used but not defined in this announcement have the meanings given to them in the Scheme Document.
