Rathbone Brothers Plc ('the Company') 
 Directors/PDMR Shareholding 
 
 On 8th April 2016, connected persons (as defined by Schedule 11B of the
Financial Services and Markets Act 2000) of a PDMR, Andrew Morris, received
1,080 Rathbone Brothers Plc ordinary shares by way of a gift to his children.
These shares were subsequently sold on 11th April 2016 at £20.40 per share. 
 
 Mr Morris's shareholding in the Company therefore remains unchanged at 55,172
ordinary shares representing 0.115% of the total voting rights of the Company.
